These Terms of Service (“Terms”) govern your access to and use of the website at lyteral.ai and the products, applications, and services offered by Lyteral (together, the “Services”). By using the Services, you agree to these Terms.
1. The Services
Lyteral may update, change, or discontinue features of the Services with or without notice, subject to applicable law. We do not warrant that the Services will be uninterrupted or error-free.
2. Your account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it updated.
3. Acceptable use
You agree not to misuse the Services—for example, by attempting to access non-public areas, interfere with the Services, use the Services to break the law, harass others, send spam, or attempt to reverse engineer the Services except where such restriction is prohibited by law. We may suspend or terminate access for conduct that we reasonably believe violates these Terms or harms the Services or other users.
4. Subscriptions, fees, and payments
If the Services offer paid features, pricing and billing terms will be presented at the point of purchase. Payments may be processed by third-party payment processors (such as Stripe). Your relationship with those providers is also governed by their terms and policies. To the maximum extent permitted by law, fees are non-refundable except as required by law or as expressly stated at purchase.
5. Intellectual property
The Services, including their design, text, graphics, logos, and software, are owned by Lyteral or our licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial use in connection with the product, unless a separate commercial agreement says otherwise.
You retain rights to content you submit. You grant us a license to use, store, and process that content as needed to provide and improve the Services, in line with our Privacy Policy.
6. Disclaimers and limitation of liability
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, LYTERAL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT RESULTS OBTAINED FROM THE SERVICES WILL BE ACCURATE OR RELIABLE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LYTERAL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100), EXCEPT WHERE SUCH LIMITATIONS ARE PROHIBITED BY LAW.
7. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless Lyteral and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Services, your content, or your violation of these Terms.
8. Governing law; disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules, except where precluded by the mandatory laws of your jurisdiction. The exclusive courts for disputes relating to these Terms (unless applicable law requires otherwise) shall be the state and federal courts located in Delaware, and you consent to personal jurisdiction there.
9. Changes
We may modify these Terms. If we make material changes, we will provide notice in a reasonable manner, such as by email or in-app notice. Your continued use after the effective date constitutes acceptance of the updated Terms.
